ZIP Campus, LLC

1. Contractual Relationship
These Terms of Service ("Terms") govern your access to and use of the ZIP mobile applications, websites, and related content, products, and services (collectively, the "ZIP Platform") made available by ZIP Campus, LLC, a North Carolina corporation headquartered in Davidson, North Carolina ("ZIP," "we," "our"). PLEASE READ THESE TERMS CAREFULLY. By creating a ZIP account or by accessing or using the ZIP Platform you agree to be bound by these Terms, which establish a contractual relationship between you and ZIP. If you do not agree, you may not use the ZIP Platform.
ZIP Campus, LLC is a limited liability company. These Terms do not create any joint venture, partnership, employment, or agency relationship between you and ZIP.
2. What ZIP Is – and Is Not
Marketplace only.
The ZIP Platform is a peer‑to‑peer marketplace restricted to verified students of participating colleges and universities. It enables student riders ("Riders") to publish ride requests and student drivers ("Drivers") to view, negotiate, and accept those requests (each a "Ride Arrangement").
No transportation services.
ZIP does not provide transportation, logistics, or delivery services and does not function as a transportation carrier, employer, or insurer. All transportation services are provided by independent student Drivers who are not employees, agents, or representatives of ZIP.
No custody of funds.
Riders pay Drivers directly via peer‑to‑peer payment links (e.g., Stripe™). ZIP never holds, transmits, or disburses Rider funds and is not a payment processor.
No guarantee.
ZIP does not guarantee the quality, safety, legality, or ability of Riders or Drivers nor the completion of any Ride Arrangement. You assume all risk arising out of your use of the ZIP Platform.
3. Eligibility and Account
Student‑only access.
You must have an active institution‑issued .edu email address from a participating campus and be at least 18 years old.
Account accuracy.
You agree to maintain accurate, complete, and up‑to‑date account information. Failure may result in suspension or termination.
Single account.
You may maintain only one ZIP account unless expressly permitted by ZIP in writing.
Security.
You are responsible for all activity under your account and for maintaining the confidentiality of your login credentials.
4. Driver Requirements
To accept ride requests, drivers must:
- Hold a valid U.S. driver's license for at least 2 years and be between 18 and 25 years old.
- Pass ZIP's background and motor‑vehicle record checks.
- Own or have the legal right to operate the vehicle and carry proof of state‑minimum liability insurance or be enrolled in a ZIP‑approved per‑mile TNC‑lite policy.
- Display any in‑app required campus decals while operating.
- Refrain from alcohol, drugs, weapons, harassment, discrimination, or any conduct prohibited by law or by Section 6 (Code of Conduct).
ZIP may suspend or revoke driver privileges at any time for safety or compliance reasons.
5. Ride Arrangements & Payments
Price negotiation.
Riders propose an amount; Drivers may accept, reject, or counteroffer. Once accepted, a binding Ride Arrangement is formed between Rider and Driver only.
Payments.
Rider must transfer the agreed fare to Driver via the designated peer‑to‑peer link before the ride begins. ZIP is not a payment processor and does not handle or guarantee any payments between Riders and Drivers. Once the platform generates a payment link, all financial transactions occur directly between the parties.
ZIP fee.
Drivers pay a fixed subscription fee or other service charges disclosed in‑app. Fees are non‑refundable unless required by law.
Cancellations.
Either party may cancel before pick‑up or payment. Repeated no‑shows may lead to account action.
5A. Cleaning & Damage Policy
Rider Responsibility.
You are responsible for any costs, expenses, or losses resulting from damage to a Driver's vehicle, or from extraordinary cleaning required, caused by you or your guests during a trip arranged through the ZIP Platform. This includes, without limitation, spills, stains, food or beverage damage, dirt or mud, bodily fluids, odors, burns, broken or missing parts, or any other condition that reasonably requires professional cleaning or repair, as well as the Driver's lost time or lost earnings resulting from such incident.
Authorization to Charge.
By using the ZIP Platform, you expressly authorize ZIP, at its sole discretion, to initiate a charge against your stored payment method through Stripe (or any other designated payment processor) for an amount determined by ZIP to fairly compensate the Driver for such damage, cleaning, or loss. Funds collected will be routed directly to the Driver's connected Stripe account. ZIP does not hold, control, or distribute these funds.
Determination of Amount.
The amount of any such charge shall be determined by ZIP in its sole discretion based on the nature and extent of the damage, cleaning, or loss, and may vary from nominal amounts to amounts sufficient to cover professional cleaning services, repair costs, and reasonable lost earnings of the Driver. Riders acknowledge and agree that such determinations by ZIP are final, binding, and enforceable under this Agreement, except as otherwise resolved through the applicable payment processor or Rider's financial institution.
Disputes.
If you dispute a charge, you must do so through Stripe's or your financial institution's dispute process. Stripe and/or your payment provider will determine the outcome of any dispute, and any funds returned to you will be debited from the Driver's Stripe account. ZIP does not adjudicate, guarantee, or assume responsibility for the outcome of such disputes.
Account Consequences.
In addition to financial liability, repeated or severe incidents of damage or extraordinary cleaning may result in suspension or termination of your ZIP account, at ZIP's discretion.
5B. Cancellation & No-Show Policy
General
ZIP does not hold rider payments or driver earnings. All transactions occur directly between riders and drivers via Stripe Connect. Refunds, reversals, and negative balances are processed by Stripe. ZIP is not responsible for the timing of funds returned to bank accounts. Before cancelling a ride, all users will be required to confirm their choice in-app. The system will display whether a refund will be issued or retained before the cancellation is finalized.
Driver Cancellations
Cancellation After Acceptance
If a driver cancels after accepting a ride, the rider will receive a full refund, processed via Stripe transfer reversal.
Driver Marks Arrival but Rider No-Show
Drivers must wait at least 5 minutes after marking "I've arrived" within the ZIP app. If the rider has clicked "On My Way" through the built-in app notification system, the required wait time increases to 10 minutes. If the rider does not appear within the required time, the driver may cancel as a Rider No-Show. In such cases, no refund is issued and the driver retains the fare. Repeated no-show reports are logged by ZIP for review.
Rider Cancellations
Cancellation Within 2 Minutes of Driver Acceptance
If a rider cancels within 2 minutes of the driver accepting, the rider will receive a full refund, processed via Stripe transfer reversal.
Cancellation After 2 Minutes of Driver Acceptance
If a rider cancels after 2 minutes, no refund is provided. The driver retains the fare.
Driver No-Show
If a driver fails to arrive within the greater of an additional 10 minutes or 50% of the estimated wait time, the rider may cancel as a Driver No-Show. In this case, the rider will receive a full refund, and the driver's account may be subject to a negative balance if funds were already transferred. Repeated no-show reports are logged by ZIP for review.
6. Code of Conduct
Applies to all users.
- Treat every Rider or Driver with respect and without discrimination on the basis of race, color, religion, national origin, sex, gender identity, sexual orientation, disability, or any other protected characteristic.
- Drivers must not engage in conduct that endangers or harasses Riders. This includes reckless driving, intimidation, discriminatory treatment, or inappropriate comments or behavior. Violations may result in immediate suspension or referral to campus or legal authorities.
- Riders must not interfere with the safe operation of the vehicle. Any physical disruption, verbal harassment, or attempt to distract, threaten, or touch the Driver (including grabbing the steering wheel or controls) is strictly prohibited and may result in permanent suspension or referral to campus or legal authorities.
- No alcohol, drugs, or weapons in the vehicle. ZIP enforces a zero‑tolerance policy – report violations by emailing support@zipcampus.com
- Riders are responsible for any damage to a Driver's vehicle caused by their conduct, including spills, stains, or excessive mess. Drivers may request reasonable compensation directly from Riders to cover cleaning or repair costs. ZIP is not responsible for vehicle damage or related charges.
- Follow all traffic laws, campus parking rules, and ZIP safety prompts (e.g., 4‑digit ride PIN, live GPS sharing).
- Protect personal data: no unsolicited recordings, data scraping, or misuse of platform information.
Violation may result in suspension, account termination, and referral to campus or law enforcement authorities.
7. Licenses & Intellectual Property
ZIP grants you a limited, non‑exclusive, revocable, non‑transferable license to access and use the ZIP Platform on your personal device solely for your own use. All rights not expressly granted are reserved by ZIP. You may not:
- Copy, modify, distribute, or create derivative works of the ZIP Platform or content.
- Reverse engineer or attempt to extract source code.
- Use ZIP's names, logos, or marks except as permitted by ZIP brand guidelines.
8. Privacy
Our collection and use of personal information is described in the ZIP Privacy Notice, incorporated by reference. By using the ZIP Platform you consent to the practices described therein.
8A. Communications and Notifications
By creating an account or using the ZIP Platform, you agree to receive communications from us, including emails, text messages, and push notifications, for account management, safety alerts, product updates, and promotional purposes. You may opt out of non-essential communications via your account settings. However, you may not opt out of important transactional or safety-related messages.
9. Disclaimers
ZIP PROVIDES THE PLATFORM "AS IS" AND "AS AVAILABLE." WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT GUARANTEE THE RELIABILITY, SAFETY, OR ABILITY OF DRIVERS OR RIDERS. YOUR ENTIRE RISK ARISES OUT OF YOUR USE OF THE PLATFORM.
You acknowledge that using peer-to-peer transportation services involves inherent risks, including the risk of accident, injury, or loss. By using the ZIP Platform, you voluntarily assume such risks. To the fullest extent permitted by law, you waive any claims against ZIP Campus, LLC arising from such risks.
10. Limitation of Liability
10.1 Exclusion of Certain Damages.
To the maximum extent permitted by applicable law, ZIP Campus, LLC ("ZIP") and its parent, subsidiaries, affiliates, successors, assigns, and each of their respective directors, officers, employees, and agents (collectively, the "ZIP Parties") shall not be liable to you for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, whether based in contract, tort (including negligence), strict liability, or otherwise, arising out of or in connection with: (a) the ZIP Platform; (b) any goods, services, or information obtained through the ZIP Platform; or (c) your interactions or transactions with any other user or third party, even if the ZIP Parties have been advised of the possibility of such damages.
10.2 Monetary Cap.
Notwithstanding any other provision of these Terms, the aggregate liability of the ZIP Parties to you for any and all claims arising from or relating to the ZIP Platform or these Terms shall not exceed the greater of five hundred United States dollars (US $500).
10.3 Specific Exclusions.
Without limiting Section 10.1, the ZIP Parties shall have no responsibility or liability for:
- (a) charges assessed by your mobile, data, or internet service providers;
- (b) the acts or omissions of any user of the ZIP Platform, including negligent, reckless, or unlawful conduct;
- (c) the quality, safety, legality, or fitness of any goods or services exchanged between users;
- (d) loss, theft, or damage to personal property occurring during or in connection with any ride or transaction facilitated by the ZIP Platform; or
- (e) bodily injury or property damage suffered by you, another user, or any third party in connection with the ZIP Platform.
10.4 Jurisdictional Limitations.
Certain jurisdictions do not allow the exclusion or limitation of liability for particular categories of damages. In those jurisdictions, the exclusions and limitations set forth in this Section 10 apply only to the extent permitted by the laws of such jurisdiction.
10.5 Force Majeure.
ZIP shall not be liable for failure or delay in performance due to causes beyond its reasonable control, including natural disasters, acts of war or terrorism, labor disputes, pandemics, power outages, cyberattacks, or government actions.
11. Indemnity
You agree to indemnify and hold harmless ZIP, its affiliates, officers, directors, and employees from any claims, losses, liabilities, and expenses (including attorneys' fees) arising out of: (a) your use of the ZIP Platform or services obtained through it; (b) your breach of these Terms; or (c) your violation of another party's rights or of applicable law.
12. Dispute Resolution & Arbitration
Binding Arbitration. Any dispute arising under these Terms will be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. You and ZIP waive the right to a jury trial or to participate in class actions.
13. Termination
ZIP may suspend or terminate your account at any time for any reason, including violation of these Terms or campus policies.
13A. Survival.
The following sections shall survive termination of your account or these Terms: Section 9 (Disclaimers), Section 10 (Limitation of Liability), Section 11 (Indemnity), Section 12 (Dispute Resolution & Arbitration), and Section 14 (Governing Law).
14. Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to conflict‑of‑laws principles, except where pre‑empted by federal law.
15. Changes to Terms
ZIP may update or modify these Terms from time to time. The most current version will always be posted within the ZIP app and at zipcampus.co. By continuing to access or use the Services after changes become effective, you agree to be bound by the revised Terms.
If we make material changes—such as changes that affect your rights or obligations—we will provide additional notice in a reasonable manner by email or in-app. The date of the latest version will always be indicated at the top of the Terms.
15A. Copyright Complaints and DMCA Policy
ZIP respects the intellectual property rights of others. If you believe your copyrighted work has been used in a way that constitutes infringement, please contact our Designated Agent at support@zipcampus.co with a takedown request in accordance with the Digital Millennium Copyright Act (DMCA). Please include:
- A description of the copyrighted work you believe has been infringed;
- The location of the infringing content on the ZIP Platform;
- Your contact information;
- A statement that you have a good faith belief the use is unauthorized;
- A statement under penalty of perjury that your claim is accurate and that you are authorized to act on behalf of the copyright owner.
